CONTEST OFFICIAL RULES
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ENTRY OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA, WHO ARE 21 YEARS OF AGE OR OLDER AT TIME OF ENTRY.
CONTEST DESCRIPTION: Kao Brands Company is running the “Sheer Blonde® Entourage Spotlight Contest” (the “Contest”) to kick-off the entire Sheer Blonde® Entourage program. To enter the Contest, submit a video in accordance with these Official Rules (including the Requirements defined below) and you could win a “Sheer Blonde” makeover and sing on stage with Natasha Bedingfield at one of her concerts.
1. CONTEST DATES: Contest entry period (“Video Submission Period”) begins at 6:00:01 p.m. Eastern Time (“ET”) on March 19, 2010 and ends at 11:59:59 p.m. ET on April 18, 2010. Semi-Finalist Selection Period begins on or about April 19, 2010 and ends on or about April 30, 2010. The Public Voting Period begins on or about 12:00:01 a.m. ET on May 1, 2010 and ends at 11:59:59 p.m. ET on or about May 18, 2010. Final voting by Natasha Bedingfield (or by her management team) will take place on or about June 15, 2010.
2. CONTEST ENTITIES: The Contest is sponsored by the John Frieda® Sheer Blonde® team of Kao Brands Company, 2535 Spring Grove Ave., Cincinnati, OH 45214 (the “Sponsor”) and will be administered by Bidwell Holdings, LLC, dba MS3, and Enlighten (collectively, the “Administrators”) (the Sponsor and Administrators are collectively referred to as the “Contest Entities”).
3. ELIGIBILITY: The Contest is open to legal residents of the fifty (50) United States and the District of Columbia, who are twenty-one (21) years of age or older at time of entry, and are registered users (each a “Registered User”) of www.youtube.com/JohnFriedaUS (“YouTube Site”). Employees, officers, directors, and their immediate family members of the Contest Entities, Tractenberg, YouTube, Kirshenbaum Bond, Senecal + Partners and their respective parents, affiliated and subsidiary companies, advertising and promotion agencies, and any entities associated with this Contest, including all Contest judges and Natasha Bedingfield and her management team, are not eligible to enter. For purposes of this Contest, “immediate family members” means parents, spouses, children, siblings, in-laws, grandmothers, or grandfathers and those persons living in the same household of these individuals whether related or not. All employees, officers or directors of any competitor of Sponsor, as determined by Sponsor in its sole and absolute discretion, including but not limited to other beauty brands, and their immediate family members are not permitted to enter. The Contest Entities reserve the right to disqualify any entry, for whatever reason, including, but not limited to, a perceived or actual conflict of interest. Contest entrants must be amateur musicians/singers/performers and may not be professional musicians, singers or performers or members of RIAA, SAG, AFTRA, AGVA, Equity or any other guild or union associated with the performing arts. Individuals who have had or currently have a music recording/singing/performing contract are prohibited from entering this Contest. Void where prohibited by law. Contest is subject to all applicable federal, state and local laws.
To become a Registered User of the YouTube Site, you must register for an account and agree to the YouTube Site's “Terms of Use” set forth at www.youtube.com/t/terms (“Terms of Use”). There is no fee or charge to become a Registered User.
4. HOW TO ENTER: Anytime during the Video Submission Period: (i) Go to www.JohnFrieda.com/Spotlight or www.youtube.com/JohnFriedaUS (the “Contest Page”); (ii) Read the Official Rules, (iii) Download the 60 second version of Natasha Bedingfield's “Pocketful of Sunshine” in the format provided on YouTube (“Contest Music”); (iv) Create a 60second video (“Video Submission”) of yourself singing the Contest Music in the format provided on YouTube; and (v) follow the directions provided on the Contest Page to upload your Video Submission and then submit the Video Submission.
Video Submission must comply with all YouTube format and size requirements and the technical, creative, and legal requirements set forth in these Official Rules. Please note: You must be a Registered User of the YouTube Site to enter. To become a Registered User of the YouTube Site, you must register for an account and agree to the YouTube Site's “Terms of Use” set forth at www.youtube.com/t/terms (“Terms of Use”) and the YouTube Privacy Policy, located at www.youtube.com/t/privacy. Registrationon YouTube must be completed before a Video Submission can be submitted. Creating a YouTube account is free. Posting of a Video Submission does not necessarily mean that entrant is in compliance with these Official Rules. The Contest Entities are not affiliated with www.youtube.com or the YouTube Site. YouTube is not a sponsor of this Contest.
Limit one (1) entry per person. If more than one (1) entry is submitted by a person, only the first entry received (based on date and time received by the Administrator) will be judged. You may include the Sheer Blonde® logo (“Logo”) and/or product (“Product”) or mention the Product name in your Video Submission. The Logo and Product shall be collectively referred to herein as “Sponsor's Materials.” Sponsor's Materials and Contest Video and Music shall be collectively referred to herein as “Contest Materials.”
5. VIDEO SUBMISSION TECHNICAL/CREATIVE REQUIREMENTS:
Video Submissions must comply with the YouTube Site's “YouTube Community Guidelines” set forth at www.youtube.com/t/community_guidelines (“Code of Conduct”) as well as the requirements below (“Requirements”). Final determination of eligibility of any Video Submission will be made by the Sponsor in its sole discretion. Video Submissions shall be subject to disqualification, in Sponsor's sole and absolute discretion, if Sponsor believes that the Video Submission does not comply with or violates any of the following Requirements:
- Video Submission must be in English;
- Video Submission must not be longer than one minute (60 Seconds), including any lead in and credits. If Video Submission is longer than 60 Seconds the entry may be disqualified, at Sponsor's discretion;
- Video Submission must not include any person other than the entrant;
- Video Submission must not infringe or violate another party's intellectual property rights (such as music, videos, photos, works of art, images or other materials for which you do not have written authority from the owner);
- Video Submission must not violate any party's right of publicity or right of privacy;
- Video Submission must not contain profanity, pornographic, vulgar or sexual content, content promoting alcohol, illegal drugs, tobacco, firearms, or weapons, hateful content of any kind (including racism, sexism, etc.), content that promotes violence or harm to another living creature, or any other threatening, abusive, indecent, offensive, obscene, or inappropriate content;
- Video Submission must not suggest or encourage conduct which constitutes a state or federal offense or gives rise to civil liability or otherwise violates any state or federal law;
- Video Submission must not defame, misrepresent, or contain disparaging remarks about other people or companies, including, but not limited to Sponsor;
- Video Submission must not promote a political agenda regardless of the political affiliation;
- Video Submission must not advertise, market, promote or endorse any specific services or products other than John Frieda(R) Sheer Blonde®;
- Video Submission must not include any music except for Natasha Bedingfield's “Pocketful of Sunshine” in the format provided on YouTube (i.e., Contest Music).
Entrants acknowledge that other entrants may have used ideas and/or concepts in their Video Submission that may have similarities to ideas or concepts included in entrant's Video Submission, and entrants understand and agree that they shall in no way be entitled to any compensation because of any such similarities. The Contest Entities' decisions are final and binding in all matters relating to this Contest, including interpretation and application of these Official Rules.
Sponsor (with respect to Sponsor's Materials) and Sony Music Entertainment (with respect to the Contest Music) grant to eligible entrants a limited, revocable, non-sub-licensable, license to use the Contest Materials for the sole purpose of creating and submitting a Video Submission for review and assessment in this Contest and entrants are prohibited from making further use of the Contest Materials or the Video Submission for any purpose whatsoever. In addition, entrants recognize all of the right, title, and interest in the Contest Materials as well as all derivative works created using the Contest Materials shall vest exclusively to Sponsor and/or Sony Music Entertainment (each as applicable), and entrant agrees he/she has not and will not take any action that might harm or adversely affect such rights. No right, title, or interest in and to the Contest Materials except for the limited license granted to entrant in these Official Rules is transferred or created. Sony Music Entertainment is not a sponsor of this Contest.
6. ENTRY TERMS: Contest is void where prohibited. By entering, and as part of the Official Rules, entrants agree to comply with YouTube's Terms of Use (http://www.youtube.com/t/terms) and Privacy Policy (www.youtube.com/t/privacy). By entering, entrant warrants that his or her idea, and Video Submission, and all elements thereof satisfy the Terms and Conditions of YouTube's Terms of Use, including, without limitation, warranting that the Video Submission in this contest:
- Is the original work of the entrant;
- Is the YouTube formatted song, “Pocketful of Sunshine”;
- Has not previously been published or won an award or prize of any kind;
- does not infringe or violate the rights of any third party, including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights, or any other intellectual property rights;
- Is not subject to any third party agreements, and that the Sponsor will not be required to pay or incur any sums to any person or entity as a result of their use, exhibition, or exploitation of the idea or video or elements therein;
- Does not contain any content that is likely to be considered offensive by Sponsor or could adversely affect the name, reputation, or goodwill of the Contest Entities;
- Does not, and the production of the Video Submission did not, violate any applicable laws, rules, regulations or ordinances.
All entries are considered to be submitted by a single Registered User. Group entries will not be accepted. By entering the Contest, each entrant represents and warrants that he or she has obtained all of the rights, licenses, and permissions from each person who helped create the Video Submission. If the Contest Entities determine in their sole discretion that an entrant has breached a representation or warranty, entrant will be disqualified.
Neither the Contest Entities nor any of their respective parents, subsidiaries, affiliates and each of their respective officers, directors, shareholders, agents and employees, nor any Internet access providers are responsible for incorrect or inaccurate entry of information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer or other network, computer equipment, software or any combination thereof, inability to access the YouTube website, for problems uploading or downloading any Contest-related materials from the website, or for late, lost, damaged, misdirected, incorrect or incomplete entry. For purposes of these Official Rules, receipt of entry occurs when Sponsor successfully receives the Video Submission in its YouTube inbox.
7. JUDGING TO DETERMINE SEMI-FINALISTS AND ALTERNATES: Between April19, 2010 and April 30, 2010 (“Semi-Finalist Selection Period”), all eligible Video Submissions received during the Video Submission Period will be judged by a panel of judges (“Panel”) that have the required knowledge and experience to apply the Semi-Finalist Judging Criteria below. The Panel will score each eligible Video Submission based on the following judging criteria (“Semi-Finalist Judging Criteria”).
- Vocal ability (50%)
- Stage presence (25%)
- Appropriateness of content to The John Frieda® Sheer Blonde® Brand and its public image and overall impression (25%)
The Panel will select the top twenty (20) entries based on Semi-Finalist Judging Criteria (each a “Potential Semi-Finalist”). Administrator will contact the top twenty (20) entrants who will be required to provide additional information, which may include but is not limited to entrants' date of birth, to confirm their eligibility in the Contest. Potential Semi-Finalists will have forty-eight (48) hours from Administrator's notification to provide Sponsor with this additional information. If Potential Semi-Finalist does not provide the additional information in the time designated by Administrator, Potential Semi-Finalist may be disqualified and not eligible to become a Semi-Finalist.
After Potential Semi-Finalists have been evaluated, based on the Panel's scores, the nine (9) highest scoring Video Submissions will be named as “Semi-Finalists” and up to the next five (5) highest scoring entries will be named as “Alternates”. In the event of a tie, all tied entries will be re-judged by an additional judge selected by Sponsor who will break the tie using the Semi-Finalist Judging Criteria.
The Panel will only score those Video Submissions that comply with these Official Rules. Entries that do not comply with these Official Rules, as determined in the Contest Entities' sole discretion, will be disqualified from the Contest and may not appear on or may be removed from the Contest Page. The Contest Entities' decisions are final and binding in all matters relating to this Contest.
8. PUBLIC VOTING: At the conclusion of the Semi-Finalist Selection Period, the top nine (9) Video Submissions (“Semi-Finalists”) based on the Semi-Finalist Judging Criteria will be posted for Public Voting on the Contest Page. Between 12:00:01 a.m. ET on May 1, 2010 and 12:00:01 on May 18, 2010 (“Public Voting Period”), five (5) Finalists will be selected by the public based on the following equally-weighted judging criteria (“Public Voting Criteria”): (i) Vocal ability and (ii) Stage Presence. To vote for a Semi-Finalist, vote “Thumbs Up” based on the Public Voting Criteria. Upon review by the Sponsor, under the supervision of the Administrator, up to five (5) Semi-Finalists with the highest number of “Thumbs Up” votes will be deemed “Finalist Video Submissions”, subject to further evaluation and review by the Sponsor. In the event of a tie, Sponsor will re-judge the tied Semi-Finalists Video Submissions based on the Public Voting Criteria. At the end of the Public Voting Period, only valid votes received by Contest Entities will be counted and recorded.
Limit one (1) vote per person/per e-mail address for each Semi-Finalist Video Submission for each day of Public Voting Period. Semi-Finalists are not permitted to vote. The use of robotic or automatic devices for voting is prohibited and Sponsor reserves the right to nullify any and all such votes and to disqualify from voting the responsible individual. Only “Thumbs Up” votes will be used to determine the number of valid votes for each Semi-Finalist. Voters may submit “Thumbs Down” votes, however, “Thumbs Down” votes do not affect, will have no bearing on and will in no way determine the number of Semi-Finalist's valid votes in any way. For sake of clarity, “Thumbs Down” votes, Total Number of Views, other YouTube statistics and data (other than the Public Voting Criteria above) and Google trackers or analytics will have no impact on and/or will in no way determine the Finalists.
10. JUDGING TO DETERMINE THE GRAND PRIZE WINNER: On or about June 15, 2010, Natasha Bedingfield and/or her management team will view the Finalist Video Submissions and make the final determination of the Grand Prize Winner based on the following equally-waited judging criteria (“Grand Prize Judging Criteria”): (i) Stage Presence; and (ii) Vocal Ability. Designation as a Semi-Finalist, Finalist and/or the Grand Prize Winner is subject to entrant's compliance with these Official Rules and YouTube terms and conditions, and must be confirmed by Sponsor.
11. NOTIFICATION OF WINNER: The potential Winner will be notified by mail, telephone, and/or email, by the Administrator on or about June 16, 2010. The potential Winner may be required to sign and properly execute an Affidavit of Eligibility and Liability Waiver, a W9 Tax Form, and any other documentation as may be required by the Contest Entities, and return such documents to Contest Entities in the time frame designated by Contest Entities before the Grand Prize will be awarded. In the event that the potential Winner cannot be contacted or if the potential Winner fails to properly execute and return all documents described herein in the designated time period, or if the potential Winner declines to accept the prize, or if the potential Winner is found not to be eligible or not in compliance with these Official Rules, the potential Winner will be disqualified and the next highest scoring Video Submission based on the Grand Prize Judging Criteria may be declared the next potential Winner, subject to all verification and eligibility requirements of these Official Rules. In the event the potential Winner is disqualified for any reason, the Sponsor may award the prize to an alternate entrant, in its sole discretion, even if the disqualified potential Winner has been notified of potential winning status.
12. GRAND PRIZE: One (1) Grand Prize will be awarded. The Grand Prize Winner (“Winner”) will receive a trip for two (2) to a destination in the continental United States (“The Destination”) to appear on stage during a Natasha Bedingfield's concert (“Concert”) (Exact dates, times and locations to be determined in the sole discretion of Sponsor). Trip consists of the following: (a) roundtrip, coach class air transportation from a major U.S. gateway airport nearest winner's residence to The Destination; (b) four (4) days and three (3) nights standard hotel accommodations (one (1) room, double occupancy); (c) two (2) tickets to the Concert(d) ground transportation to and from airport and Concert; and (e) a $1000 stipend.
Grand Prize Winner will also receive a makeover courtesy of the John Frieda ® Hair Care team and a John Frieda ® Stylist (“Makeover”) before appearing on stage with Natasha Bedingfield at her Concert. IF GRAND PRIZE WINNER DOES NOT HAVE BLONDE HAIR, GRAND PRIZE WINNER AGREES TO BECOME “SHEER BLONDE” FOR THE CONCERT. IN OTHER WORDS, AS A CONDITION OF ACCEPTING PRIZE, WINNER AGREES THAT, ABSENT A BONAFIDE MEDICAL REASON, IF WINNER DOES NOT HAVE BLONDE HAIR, WINNER WILL HAVE HER HAIR DYED BLONDE BY THE JOHN FRIEDA HAIR TEAM AS PART OF THE MAKEOVER AND WILL KEEP HER/HIS HAIR DYED BLONDE UNTIL THE END OF THE CONCERT.
The Grand Prize cannot be assigned, transferred, or substituted, but Sponsor reserves the right, at its sole discretion, to substitute the prize (or portion thereof) with one of comparable or greater value. Concert is subject to Bedingfield's availability. All prize details are at Sponsor's sole discretion. Sponsor is not responsible if any prize activity (e.g., Concert) is delayed, postponed, cancelled or cannot take place for any reason, in which event, that portion of prize is forfeited in its entirety and no substitution will be provided, except as in Sponsor's sole discretion. In such event, Sponsor shall have the option, in its sole discretion, to substitute a different prize activity and Sponsor's liability is limited to only the travel portion of the prize.
Taxes, meals, gratuities, travel upgrades, or any other expenses not specifically listed herein are the responsibility of Winner. Travel and accommodations subject to availability; certain restrictions and blackout dates may apply. Winner must travel on dates specified by Sponsor, or prize will be forfeited and may be awarded to an alternate. Winner and travel companion must travel on the same itinerary and travel companion must sign travel release prior to ticketing. Travel companion must be of the age of majority unless the Winner is travel companion's parent or legal guardian. Sponsor is not liable for delays, cancellation or unforeseen events related to the flights. Winner and travel companion will be solely responsible for obtaining valid identification relating to acceptance and use of the travel prize packages. If in the judgment of Sponsor, air travel is not required due to Winner's proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsor's sole discretion. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates.ARV of Grand Prize: $4090, but actual value may vary depending on air flight fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value.
13. ADDITIONAL CONTEST TERMS: By entering this Contest, entrants grant Contest Entities, and their affiliates, licensees, promotional partners, and third party marketing entities the right and permission to edit, modify, cut, rearrange, add to, delete from, copy, reproduce, translate, dub, adapt, publish, exploit, and use the content of and elements embodied in the Video Submissions, entries, and the entries themselves, in perpetuity in any and all media, including but not limited to digital and electronic media, computer, audio and audiovisual media (whether now existing or hereafter devised), in any language, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation. Entrants waive and release Released Parties (as defined below) from any and all claims that entrants may now or hereafter have in any jurisdiction based on “moral rights” or “droit moral” or unfair competition with respect to Sponsor's exploitation of entries without further notification or compensation to entrants of any kind, and agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against Sponsor and its affiliates, licensees, or any other person in connection with this Contest, on the grounds that any use of any entry, or any derivative works, infringe, or violate any of entrants rights therein.
By entering this Contest, entrants agree that Contest Entities and their affiliates, licensees, promotional partners, and third party marketing entities shall have the right and permission to use their name, picture, voice, biographical data, photograph, testimonial, or other likeness and/or prize information or personal exposition (and/or any edited portion thereof), and/or any information contained in his/her Video Submission or entry for promotional, advertising, and/or publicity purposes in any media, now or hereafter known, throughout the world in perpetuity, without compensation or notice to, or further consent of, to the entrant. The Contest Entities reserve the right, in their sole discretion, to disqualify any individual found tampering with the entry process or entry materials or otherwise interfering with the proper administration of the Contest or violating these Official Rules.
EACH ENTRANT ACCEPTS THE CONDITIONS STATED IN THESE OFFICIAL RULES, AGREES TO BE BOUND BY THE DECISIONS OF THE CONTEST ENTITIES, WARRANTS THAT THEY ARE ELIGIBLE TO PARTICIPATE IN THIS CONTEST, AND AGREES TO RELEASE, INDEMNIFY, AND HOLD HARMLESS CONTEST ENTITIES AND EACH OF THEIR PARENT COMPANIES, DIVISIONS, SUBSIDIARIES, AFFILIATES, ADVERTISING, PROMOTION, AND PUBLIC RELATIONS AGENCIES, AND THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENCIES OF EACH (COLLECTIVELY, “RELEASED PARTIES”), FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY, AND DAMAGES OF ANY KIND, (INCLUDING REASONABLE ATTORNEYS' FEES AND EXPENSES) ASSERTED AGAINST ANY OF THEM, INCURRED, SUSTAINED, OR ARISING IN CONNECTION WITH THE USE, ACCEPTANCE, MISUSE, OR DONATION OF THE GRAND PRIZE, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY, OR FROM THE RESPECTIVE ENTRANTS' BREACH OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE CONTEST, INCLUDING THESE OFFICIAL RULES. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE CONTEST ENTITIES AND EACH OF THEIR LICENSEES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
Each entrant hereby acknowledges and agrees that the relationship between the entrant and the Contest Entities is not a confidential, fiduciary, or other special relationship, and that the entrant's decision to provide the Video Submission to Sponsor for purposes of the Contest does not place the Contest Entities in a position that is any different from the position held by members of the general public with regard to elements of the Video Submission, other than as set forth in these Official Rules.
Each entrant understands and acknowledges that the Contest Entities have wide access to ideas, stories, designs, and other literary materials, and that new ideas are constantly being submitted to it or being developed by their own employees. Each entrant also acknowledges that many ideas or stories may be competitive with, similar to, or identical to the Video Submission and/or each other in theme, idea, plot, format, or other respects. Each entrant acknowledges and agrees that such entrant will not be entitled to any compensation as a result of Contest Entities' use of any such similar or identical material that has or may come to Contest Entities, or any of them, from other sources. Each entrant acknowledges and agrees that the Contest Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the entrant's copyright in and to the submission.
Each entrant acknowledges that, with respect to any claim by entrant relating to or arising out of any Contest Entities' actual or alleged exploitation or use of any submission or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable entrant will not be irreparable or otherwise sufficient to entitle such entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition, or other exploitation of any program, website, advertising, materials or other thing based on or allegedly based on the Video Submission, and entrant's rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
Each entrant hereby acknowledges and agrees that the John Frieda® Sheer Blonde® family of trademarks (“Marks”), Logo and Product are the exclusive licensed property of Sponsor. Each entrant further acknowledges and agrees that Sponsor's Marks are valid and enforceable, and that entrant shall do nothing to challenge the validity or enforceability of Sponsor's Marks in any forum. Entrants agree that the use of Sponsor's Marks, Logo or Products is permitted only for the purpose of making a Video Submission for entry in this Contest, and that any use of Sponsor's Marks, Logos or Products (whether in the Video Submission or otherwise) beyond this scope infringes the rights of Sponsor and will result in irreparable harm to Sponsor.
This Contest is governed by laws of New York and is subject to all applicable federal, state, and local laws. Any and all legal actions or claims arising in connection with this Contest must be brought in a court of competent jurisdiction in the State of New York. If, in Sponsor's sole opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if technical difficulties compromise the integrity of the Contest, or for any other reason, the Sponsor reserves the right to void suspect entries and/or votes and/or terminate the Contest and/or award the prize at its sole discretion. The use of any automated launching or entry software or any other mechanical or electronic means that permits any person to automatically enter or vote repeatedly is prohibited.
